TERMS AND CONDITIONS:
- Quotes are valid for 14 Days from date of issue.
- Invoices and claims will be made under the Building and Construction Industry Security of Payment Act 2002 (VIC) and Building and Construction Industry Security of Payment Act 1999 (NSW).
- All collection recovery costs incurred on arrears, such as legal fees, collections agency fees and commissions, will be added to outstanding amounts for collection.
- Warranties void if materials are not paid in full.
LEAD TIMES:
- 65-75Days from signed off production drawings and deposit paid.
- Lead times will be affected by Australian, Chinese and European public holidays.
- Force Majeure clause: Neither party will be liable for failing to perform its obligations under this agreement as long as the failure is triggered by something beyond its reasonable control. This clause does not excuse payment of monies due.
- SOLIDAL® takes no responsibility on shipping delays.
- If drawing dimensions (REVIT, Tekla Structures, Sketchup or similar) provided by the client are incorrect and require to be revised on SOLIDAL® production drawings then extension of time on program is required.
FREIGHT and STORAGE:
- SOLIDAL® crate and package according to most efficient production process and to maximise crating space, this will be determined by our factory manager.
- Customised packaging and crating requested by client subject to additional charges. Any instruction from the client regarding packaging will be considered custom crating, and impacts lead time.
- Change of delivery address or site hold ups on delivery will be subject to additional charges and may impact lead time.
- SOLIDAL® do not deliver shipping containers to client yards.
- Metro City Delivery is included as a one-time service, while any deliveries to other locations are not included.
- It is the clients responsibility to unload crates from truck with the required machinery once truck arrives for delivery.
- If contractor is unavailable to take the delivery of goods, truck will be returned to depot. Additional redelivery charge will apply and paid in advance.
DESIGN:
For projects where SOLIDAL® integrated design support is required:
- All elevations, plans, sections, set-out drawings and shop drawings in AUTOCAD format will be supplied to SOLIDAL® by client.
- 3D modulation for each module and façade set outs with panel labelling and mark-ups to be supplied by client to SOLIDAL® in dwg format.
- Production drawings to be submitted by SOLIDAL® and approved by client, for SOLIDAL® modules only.
- It is the clients responsibility to co-ordinate cladding scope with all other relevant project team specialist consultants including, but not limited to, Structural Engineer, Hydraulics Engineer, Mechanical Engineer, Planning Authorities, Planning Consultant, BCA Certifier, Wind Engineering Consultant.
- If 3D model dimensions (REVIT, Tekla Structures, Sketchup or similar) provided by the client are incorrect and require to be revised on SOLIDAL® production drawings then SOLIDAL® are entitled to a design variation and extension of time. SOLIDAL® Design Fees Apply and extension of the delivery program for SOLIDAL® scope.
- SOLIDAL® DWG (AutoCAD) drawings will not be provided to the client, installer, sub-contractor or head- contractor. Only PDF format will be provided for sign off before fabrication.
- Request for Information (RFI) and Design changes – It is the client responsibility to put in appropriate extension of time with the head contractor. RFI’s extend the lead time of material arrival due to unfinalized design documentation.
- All design related drawings and concepts are property of SOLIDAL® Protected under Copyright Law.
- Any Request for Information (RFI) or required amendments to SOLIDAL® drawings needs to be submitted directly to SOLIDAL® through email. Uploads and correspondence on third party platforms will not be checked (i.e. Aconex, Project Web, etc.) – SOLIDAL® takes no responsibility for delayed correspondence and document control/uploads through third party platforms.
PRODUCTION Guidelines related to the production of SOLIDAL® modulations:
- Production commences only when the SOLIDAL® production drawings have been signed off by the client.
- Production runs for the entire finish/colour of the SOLIDAL® modulations all at once.
- Batch production and coating is not advised and may incur increased cost, due to increased handling and extended lead times.
- Production and metal forming of the SOLIDAL® modulations in mill finish for the entire project should be done all at once according to the approved drawings.
These rules are put in place to ensure that the production process is carried out efficiently, without any delays or errors. They also ensure that the final product is of high quality and meets the client’s specifications.
GENERAL NOTES:
- This supply submission forms a part of the “SOLIDAL® Terms & Conditions of Trade” for credit account holders.
- All out of Sydney, interstate or overseas trips and services are excluded and if needed will be priced separately.
- All meetings with a third party are excluded – it is assumed that the Head and Sub-Contractor client and design team will coordinate with SOLIDAL®.
- SOLIDAL® to be granted first access to fix any defects on materials supplied, prior to client/head/sub-contractor remedying using a third party. If this process is overlooked SOLIDAL® Warranty may be affected. SOLIDAL® will not accept any back charges if the above procedure is not followed.
- Client to inspect SOLIDAL® crate/product within seven days of delivery if any defects are presented must notify SOLIDAL® within 24hours of delivery.
- Visibly damaged crates, once clients signs off crated deliveries and allows drop off, client takes full responsibility of the potential of damaged goods inside crates.
- SOLIDAL® to be notified immediately when defects are identified with photo’s panel/module number/Colour/Quantity.
- SOLIDAL® can not rectify any defects without site visit and inspection. Nor can SOLIDAL® rectify defective goods without module number code.
- SOLIDAL® Colour samples to be formally approved prior the order and fabrication.
- No materials are considered defected until inspected by a SOLIDAL® representative – remotely or on-site.
- SOLIDAL® material to be inspected and approved for installation on ground prior to installation. (This may include removal of protection film and inspected prior to installation, peel off half of the sheet following other half of the sheet). Reapplication of film after inspection is recommended.
- If any defected materials are installed, cost is the full responsibility of the client to remove and replace.
- Quotation is an indicative overview on material requirement for the project. Architectural and production drawings would be required to ascertain full scope of materials for the project.
- If SOLIDAL® production has started and amendments to drawings are applied, will be subject to material variations.
- SOLIDAL® materials that are installed are considered quality inspected and fit for purpose by installer/client. Protection film to be removed and inspected prior to installation.
- SOLIDAL® takes no responsibility on labour cost to remove and reinstall modules which have been approved prior to installation. SOLIDAL® finish and colour to be inspected on the ground against control samples prior to installation.
- Colour discrepancies must be outside of the upper and lower colour limits of the NCC before any fabrication replacements are commenced and or agreed to be defective by SOLIDAL® representative.
- SOLIDAL® will provide touch up paints when required (fees apply). Wet Spray Coating in spray can.
- Installation contractors/client are responsible for touching up scratched modules. SOLIDAL® to provide touch up methodology document.
- SOLIDAL® raw materials are procured based on approved SOLIDAL® production drawings, unless advised otherwise.
- Upon acceptance of SOLIDAL® Submission an immediate deposit to be paid based on the provisional sum.
- If acceptance of submission date exceeds 14 days from placement of order, SOLIDAL® reserve the right to adjust price accordingly.
- If deposit is not received within 14 days from signed contract / submission, SOLIDAL® has full rights to reprice the project.
- For purposes of deposit to kick start the project and provisional quantity sum to be agreed by client and SOLIDAL®
- Made to order charges apply to certain powder coat / wet spray PVDF colours.
- SOLIDAL® reserve the rights to discontinue supply of materials if invoices are unpaid.
- SOLIDAL® reserve the right to request COD (cash on delivery) on last run deliveries.
- Force Majeure clause: Neither party will be liable for failing to perform its obligations under this agreement as long as the failure is triggered by something beyond its reasonable control. This includes pandemic situations. This clause does not excuse payment of monies due.
- Any materials which are supplied must be paid in full, regardless of damaged goods, due to transport or other. SOLIDAL® will assist client on remedying the situation based on defect report and photos provided by the client within the seven-day period.
- Design drawings and or procurement and production does not commence until deposit received.
- Email go ahead from client will be regarded as acceptance of the SOLIDAL® supply contract.
- Deposit paid by client will be regarded as acceptance of the SOLIDAL® supply contract.
- Client will allocate appropriate resources to efficiently communicate (program, design, variations, additional scope and costing) between the head-contractor, sub-contractor, and SOLIDAL®
- If the subcontractor advises early termination of the supply contract, then the severance payment is to be 50% of the contract value.
- SOLIDAL® is entitled to payment from client for material provided as per payment conditions. Any delay in payment from head contactor to sub-contractor to client, does not justify overdue payment to SOLIDAL®.
- If metallurgy is not specified SOLIDAL® will procure metallurgy based on our discretion.
- Deposit payment is required on any order amendment or variation to original scope.
- SOLIDAL® are entitled to full variation payment for material provided whether or not head-contractor has issued a Site Instruction to sub-contractor/client.
- It is the Sub-Contractors/clients responsibility to sit in Head-contractor meetings and relay relevant information (program, design, variations, additional scope and costing) to SOLIDAL® separately.
- Any items other than stated in the proposed rates page are excluded (Installation, Site Surveying & Site measurement, Pre-curved sheets and Smartfix, Wastage on material, Finish other then finish stated in “Proposed Rates”, Small Quantity Set Up Fee (Non-bulk orders), Main frame, sub-frame, vapour barrier, waterproofing flashings, all fixings and accessories, On-site meetings with head-contractor and sub-contractor, Any discussions and or co-ordination with consultants is the responsibility of client/sub-contractor and relevant party (If SOLIDAL® participation is required fees apply), Customised packaging and crating according to the size, colour, weight (Preferred elevations, areas), Airfreight, Coating to both sides of materials, All Engineering excluded (Structural, Lateral Wind Design etc.), Dynamic analysis of the façade is excluded. This includes any advice related to wind induce noise, vibration, oscillation, façade natural frequency, fatigue, blast etc., Consideration of the structural performance of the building structure is not included in this scope, Construction phase and site services/post construction services, As built certification, Contingency sheets – Client to confirm quantity. (SOLIDAL® to provide price), Perforated Panels (Non-Standard), All deliveries outside of allowance, Any design outside of the design allowance scope
- If client is not in position to take delivery of crates, a storage charge of $80/crate/per week will be incurred.
- Modules less than 1.0m2 are charged as 1.0m2
- Custom Smartfix Extrusions (outside of proprietary systems) will have additional costs.
- Smartfix Extrusions Allowance (Two (2) linear metres per one (1) square meter allowed).
- Weep holes cutting to be done by installation contractor on site.
- Additional SOLIDAL® sheets to be charged out at non-bulk rate.
- 1x Cutting blades for Smartfix edge routing allowed with Smartfix order above 500m2 (fees apply otherwise)
- Cutting Fluid Excluded for any Smartfix Projects
- SOLIDAL® Senior designer fee $220/hr, Designer $155/hr outside of the SOLIDAL® design integrated scope.
- Wastage on material is excluded, sheet size TBC
- Mill Finish Sheets:
- 3mm: $65/m2 excl gst
- Each additional 1mm = $20/m2 excl gst
- PVDF Sheets:
- 3mm: $95/m2 excl gst
- Each additional 1mm = $40/m2 excl gst
- Anodised Sheets:
- 3mm: $165+/m2 excl gst TBC (depending on Anodised colour)
- 4mm: $195+/m2 excl gst TBC (depending on Anodised colour)
